Terms and Conditions for Great Lakes Designer LLC
1. Introduction
These Website Standard Terms and Conditions (these "Terms") written on this webpage shall manage your use of our website, Great Lakes Designer, accessible at [www.greatlakesdesigner.com](https://www.greatlakesdesigner.com), as well as any digital service agreements, client portals, payment links, onboarding checkboxes, and project contracts executed through this platform or associated merchant tools. By using this Website or ticking an authorization checkbox during a checkout or onboarding workflow, you agree to accept all terms and conditions written herein. You must not use this Website or its payment facilities if you disagree with any of these Terms. Minors or people below 18 years old are not allowed to use this Website or commission services.
2. Intellectual Property Rights
Other than the content you own, under these Terms, Great Lakes Designer LLC and/or its licensors own all the intellectual property rights and materials contained in this Website. You are granted a limited license only for purposes of viewing the material contained on this Website. For commissioned client projects, all backend code, structural web layouts, custom database schemas, and strategy modules remain the intellectual property of Great Lakes Designer LLC until all final balances are settled in full.
3. Restrictions
You are specifically restricted from all of the following:
-
Publishing any Website material or proprietary staging/preview links in any other media without consent;
-
Selling, sublicensing, and/or otherwise commercializing any Website or development material;
-
Using this Website in any way that is or may be damaging to Great Lakes Designer LLC;
-
Using this Website in any way that impacts user access to this Website;
-
Using this Website contrary to applicable laws and regulations, or in any way that may cause harm to the Website, or to any person or business entity;
-
Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to this Website.
Certain areas of this Website and client staging environments are restricted from being accessed by you, and Great Lakes Designer LLC may further restrict access by you to any areas of this Website or active development portals at any time, in absolute discretion. Any user ID, invitation link, or password you may have for this Website are confidential and you must maintain confidentiality as well.
4. Professional Services, Payments, & No-Refund Policy
This section governs all service engagements, deposits, and digital transactions processed by Great Lakes Designer LLC:
-
Authorization of Agency: If an employee, administrative assistant, or designated representative processes a transaction, fills out an onboarding form, or checks an agreement box on your behalf using a corporate credit card, they are deemed to possess full apparent authority to bind your business entity to these terms.
-
No Refunds for Partial Work: Due to the custom, highly technical nature of our digital products (including brand strategy, content architecture frameworks, and specialized platform engineering within platforms like Wix Studio), all fees and deposits are completely non-refundable for partial work. Once design or development has commenced, the contract cannot be canceled for a full or prorated refund based on the project being in an uncompleted or partial state.
-
Partial Payments & Deposits Are Non-Refundable: If a payment is made that represents less than the full scope payment (such as an initial deposit, progress milestone, or partial installment), that payment will not be refunded under any circumstances. Any payment received locks in agency resources and constitutes an immediate commitment of unrecoverable development hours.
-
Substantial Performance: Upon payment confirmation, Great Lakes Designer LLC immediately allocates unrecoverable developer hours, infrastructure environments, and software resources. The absence of finalized "front-end visual design assets" does not negate the delivery of backend labor, system architecture setups, logic programming, or consulting hours already rendered.
-
Chargeback Waiver: Clients explicitly agree that any fee disputes must be handled directly via our internal customer resolution or formal settlement channels. By accepting these terms, you waive the right to file an unauthorized transaction claim or "Services Not Rendered" chargeback with your credit card issuer (including American Express) for technical services, partial work, or backend environments already provisioned and documented in our system logs.
5. Your Content
In these Website Standard Terms and Conditions, "Your Content" shall mean any audio, video text, images, or other material you choose to display on this Website or submit for inclusion in a development project. By displaying or providing Your Content, you grant Great Lakes Designer LLC a non-exclusive, worldwide, irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate, and distribute it for the execution of your project. Your Content must be your own and must not be invading any third-party’s rights. Great Lakes Designer LLC reserves the right to remove any of Your Content from our development environments at any time without notice.
6. No Warranties
This Website and all beta/staging environments are provided "as is," with all faults, and Great Lakes Designer LLC expresses no representations or warranties of any kind related to this Website or the materials contained on this Website. Also, nothing contained on this Website shall be interpreted as advising you.
7. Limitation of Liability
In no event shall Great Lakes Designer LLC, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website or our technical development workflows, whether such liability is under contract. Great Lakes Designer LLC, including its officers, directors, and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Website or service contracts.
8. Indemnification
You hereby indemnify to the fullest extent Great Lakes Designer LLC from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.
9. Severability
If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
10. Variation of Terms
Great Lakes Designer LLC is permitted to revise these Terms at any time as it sees fit. By utilizing our payment frameworks or website, you are expected to review these Terms on a regular basis.
11. Assignment
Great Lakes Designer LLC is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
12. Entire Agreement
These Terms constitute the entire agreement between Great Lakes Designer LLC and you in relation to your use of this Website and standard service provisioning, and supersede all prior agreements and understandings.
13. Governing Law & Jurisdiction
